About
The analysis used to value, acquire, and sell operating companies, applied within a sector where that discipline is uncommon and increasingly necessary.
The Firm
Valuation, cash flow analysis, diligence, and transaction structure apply identically whether the acquirer is an investor or a 501(c)(3). What differs is the disposition of the profit. The Unrestricted applies that analysis for nonprofit boards and executives who have concluded that earned revenue needs to be managed as a core function rather than a peripheral initiative.
A great deal of strategy work in the nonprofit sector concludes at the recommendation. This work continues through pricing, entity structure, financing, the donor ask where one is warranted, and governance, because a revenue strategy the organization cannot lawfully or operationally execute has no value.
Engagements are scoped to a specific decision rather than an open-ended retainer. Boards receive a recommendation, the analysis supporting it, the structure required to execute, and an explicit account of what would justify declining to proceed.
Founder
Dr. Jamie Klingman holds a doctorate in social enterprise, the field concerned with how mission-driven organizations develop and sustain commercial revenue while preserving their purpose. Her research and consulting practice address that question directly.
She has served on nonprofit boards across the full range of the sector, from startup organizations securing initial funding through institutions operating budgets in excess of $30 million. That service spans drafting initial bylaws, overseeing complex budgets and real property, and supervising professional staff and executive leadership.
Board service is also where a consistent gap became apparent. Development leadership understands fundraising and finance leadership understands reporting, but few boards include anyone equipped to assess the organization's assets and determine what a market would pay for them.
The Unrestricted was established to fill that gap for the organizations that need it.
